§ 1 Subject of agreement & independent business status
The partner joins the NitroQuad sales and partner system as a legally and economically independent business operator. The agreement does not create an employment relationship. The partner operates independently and is responsible for the commercial, tax, accounting and insurance obligations applicable to their business.
§ 2 Partner level & services
The selected partner level determines the partner investment, revenue share, goods framework, deposit and recurring system fees. Bronze and Silver are primarily intended for online sales through approved platforms and classified advertising. Gold, Platinum and Diamond combine online sales with regional product sales, presentation, advice, local collection and – where agreed – physical commission goods.
§ 3 Commission goods & ownership
Physical goods may be provided as commission goods depending on the partner level and agreement. Provision of the goods does not normally transfer ownership. The partner handles the goods carefully, protects them against loss and damage, keeps traceable stock records and accounts properly for sold goods.
Pledging, assigning as security or otherwise disposing of commission goods not owned by the partner outside the agreed sales system is not permitted.
§ 4 Goods framework, delivery & replenishment
The agreed goods framework depends on the selected partner level and actual product availability. For Gold, Platinum and Diamond, a further physical commission delivery may generally be released once at least 60.0% of the value of the previous delivery has been sold, accounted for and paid.
Delivery method, collection, transport costs and the specific product selection are agreed before each delivery.
§ 5 Settlement & revenue share
The partner receives the revenue share agreed for their partner level on the revenue defined by the applicable settlement rules. Sales, returns, cancellations, refunds and other adjustments are reflected transparently in the relevant settlement.
No particular turnover, profit or commercial success is guaranteed.
§ 6 Territory protection
Bronze and Silver partners do not receive regional territory protection. For Gold, Platinum and Diamond, territory protection for in-person sales, presentation, advice, test rides and local collection is generally planned within a 15 km radius of the partner location confirmed in writing. General online advertising and central online sales remain outside this protection.
§ 7 Marketing & brand presentation
The partner may use approved NitroQuad logos, product images, text, video and advertising material during the agreement term for their NitroQuad business. Advertising must be factual, truthful and consistent with the agreed brand and campaign rules.
Subject to availability, Gold, Platinum and Diamond partners may be offered regional promotional activities with a Ferrari or Lamborghini as well as approved voucher, discount and cashback campaigns. Vehicle, date, scope and availability depend on the relevant campaign planning.
§ 8 Service, product safety & customer care
Products and vehicles must be assembled, presented and handed over in accordance with manufacturer instructions, operating manuals and applicable safety requirements. Complaints, returns and technical issues are documented and handled under the agreed service process.
The contracting party acting as the seller to the end customer is responsible for the legal seller obligations applicable to that sale.
§ 9 Data protection, access data & confidentiality
Personal and customer data may only be used for permitted contract, order, service and settlement purposes. Access credentials must be kept confidential. Non-public system information, calculations and other internal know-how may not be disclosed to third parties without authorization.
§ 10 Deposit
The deposit agreed for the relevant partner level serves to secure justified claims arising from the agreement and is not an entry fee. After termination, any remaining deposit is refunded within 90 days at the latest, provided there are no outstanding invoices, missing or damaged commission goods or other reasonably substantiated counterclaims.
§ 11 Term & termination
The current agreement structure provides for an initial term of five years. A continuation for a further five years may be agreed under the terms set out in the individual agreement. The right to terminate for serious cause remains available.
Serious breaches – in particular deliberate manipulation of settlements, misappropriation or unauthorized disposal of commission goods, or serious misuse of brand or data – may lead to termination subject to the individual agreement and applicable legal requirements.
§ 12 Consequences of termination
After termination, outstanding settlements are completed and remaining commission goods are returned as agreed. NitroQuad branding, system access and advertising materials may no longer be used in a way that suggests the partnership continues. The deposit is settled in accordance with the contractual rules.
§ 13 Individual agreement & schedules
The individual franchise/partner agreement contains the full contracting parties, selected partner level, confirmed location and the schedules required for the cooperation. These may include settlement rules, goods and delivery conditions, territory protection, brand/marketing rules, service/returns processes and data-protection information.
Review the agreement documents carefully
This page is a clear preliminary overview of the intended cooperation. Only the individually completed agreement accepted by both contracting parties together with its schedules governs the cooperation. Open points can be clarified and the documents reviewed carefully before signing.
